Latin America & Canada

We have personal ties with Latin America and Canada and have conducted important matters there and have assisted clients from there with matters in France.

• Legal opinion as to the compatibility of a proposed merger between a French, an Italian and a Canadian company with EU Regulations on Merger Control and as to the merits of a potential case to be submitted to the European Court of Justice.
• Representation of a Canadian company in connection with the negotiation and drafting of an agreement governing the use of a secret non-patented industrial process by a French industrial entity.
• Analysis for a Canadian investment company of its rights and obligations under various contracts with an African government regarding the construction and development of a destination resort project in North Africa.

• Representation of a leading Korean multinational company in semi-conductors with respect to restructuring of an investment, in particular regarding the sale of shares in a joint venture.
• Representation of a French company in the acquisition of a financial interest in two companies, including due diligence, negotiation and drafting of preliminary and final agreements, including negotiation of new shareholders' agreements and documentation related to financing and guarantees.

• Study on the nature of copyrights and their protection on the Internet in the European Union, for a group of lawyers, magistrates, government and private sector executives of the Andean Community of Nations: comparison of the markets between Europe and Latin America; historical experience; application of the economic and moral rights concerned; liability of service providers, in particular on the international level; international jurisdictional competence and conflict of laws, hyperlinks.

• Study of a petroleum concession agreement granted by the Guatemalan government to North American companies and of related agreements further subdividing rights there under.

• Sole arbitrator in an ICC arbitration concerning a dispute between the architect and the owner of a resort-hotel construction project in the Caribbean.
